Jobsoid Affiliate Program Terms

These terms and conditions govern the Jobsoid Affiliate Program (“JAP”) provided by Jobsoid Inc. (“Jobsoid” or “we” or “us” or “our”), hereinafter referred to as the Jobsoid Affiliate Program Terms (“JAP Terms”) and apply to our Affiliates (“You”) who sign up to the JAP in your role to identify and recommend the use of Jobsoid Services to prospective customers.

This Agreement constitutes a legally binding contract between Jobsoid and You (being the Affiliate). On accepting these JAP Terms, by signing up for Jobsoid Affiliate Program, You agree to be bound by these JAP Terms. If you are signing up as a company, organization or any other legal entity (“Entity”), you are agreeing to these JAP Terms for that Entity and representing to Jobsoid that You have the authority to enter into this binding contract on behalf of such entity and its affiliates to this Agreement. If You do not agree to these JAP Terms, then you may not sign up for JAP.

All terms in these JAP Terms have the same meaning as defined in other Terms/Agreements/Policies of Jobsoid.

Registering for JAP

Eligibility for JAP: 1) Only persons above 18 years of age should sign up for JAP or be a part of JAP in any other way. If you are a child under the age of 13, do not submit any Personal Information to us. 2) Employees of Jobsoid or its associate companies are not eligible to be Affiliates under these JAP Terms.

When you register for JAP, You are asked to provide your full name, your website, a password which will be exclusively used for the JAP login, and other details requested in order to complete the signup process.

Your Commissions and Rewards will be credited to Your PayPal account the details of which should be provided to Jobsoid.

You are responsible for keeping secure Your login credentials i.e. the login account and password. We shall not be liable for any loss or damage of such login credentials resulting from Your failure to comply with this security obligation. You hereby agree to report to us immediately in case of any actual or suspected theft, loss, or unauthorized use of Your account or password.

You shall not maintain more than one JAP Account for your organization/business entity. Every organization is permitted to use and maintain only a single JAP Account.

You may not use the JAP for any illegal or unauthorized purpose. You must not, in the use of the Service, including JAP, violate any laws in your jurisdiction (including but not limited to copyright laws).

Your Personal Data (personally identifiable information that could be legally considered private or sensitive) disclosed in the above manner will be treated as per our Privacy Policy.

Affiliate Referral Link

Once you have signed up for JAP, you will be assigned a unique and distinctive Affiliate Referral Link (Link) with the help of which You can recommend Jobsoid to customers. This Link will permit accurate tracking, reporting, and referral fee/commission accrual.

You are permitted to place Links, banners, or other graphics we provide with on your site, in your emails, or in other communications.

You will earn referral fees only with respect to sign-ups occurring directly through Your unique Link. We will not be liable to you with respect to any failure by You to use Your Link, including to the extent that such failure may result in any reduction of amounts that would otherwise be paid to you pursuant to these JAP Terms.

You are prohibited from using Your unique Link to sign up for a Jobsoid Account for your own use. The aim of a referral program is to encourage affiliates and ambassadors to spread the word about our product(s), not to get discounts. You are to use the Link strictly to recommend Jobsoid to customers that are not a part of You or Your business entity. Such acts may result, at our sole discretion, in the withholding of payouts and/or disqualification from JAP.

Referral Commissions and Rewards

Affiliate links must point to either the Homepage or Landing pages of our website www.jobsoid.com. Deep links, or links to other pages inside the product site will not earn credit.

Referral Commission:

For a signup to be eligible to earn a commission, the customer must click-through a unique Link from your site, email, or other communications and sign up for Jobsoid either during that session or within 60 days thereafter. The session ends once someone closes their web browser, navigates away from the Site, or otherwise leaves the Site without signing up for a product before leaving the site. If they leave the site, come back later on their own after 60 days, and then sign up for a Jobsoid account, You will not be eligible to earn a commission.

You will earn 15% recurring commission of the Monthly Recurring Revenue (MRR) generated from the customer, who subscribes to Jobsoid vide your unique Link, until the customer is actively paying. This Commission recurs on every payment the customer makes to Jobsoid.

Commissions are only earned on payment of subscription fee by a customer. No commissions can be earned on pro rata basis i.e. in case a customer cancels their account before the date of payment.

We will only pay commissions on links that are automatically tracked and reported by our systems. We can only pay commissions on business generated through properly formatted special links that were automatically tracked by our systems.

You shall not use fraudulent, illegal, or overly aggressive, questionable sales or marketing methods under JAP. We reserve the right to disqualify You and refuse to make payouts of commissions earned through such means.

Rewards

The Affiliates shall be entitled to a bonus reward for referring 10 customers at the rate of $50 for every ten customers.

The commission and rewards structure is subject to change at Our discretion. We will notify all Affiliates 30 days prior to a commission structure change. Commissions earned under the previous structure will be paid under the previous structure.

PayPal

All payouts under JAP are made via PayPal. If You do not currently have a PayPal account, You must register for one and share details with our support team. Any Commissions and Rewards accrued will not be credited/paid to You unless You provide Us with the details of Your PayPal account.

Payment Eligibility and Processing

All payouts to You will be made on monthly basis. All payouts are subject to a minimum commission balance reaching an amount of $50 in your affiliate account. The first commission will be processed on basis of the following conditions:

  1. In case the customer referred by you subscribes to the a monthly Jobsoid plan, You become eligible for commission on the forty-fifth (45th) day from the date on which the customer makes the first payment to Us.
  2. In case the customer referred by you subscribes to an annual plan, You become eligible for payment on sixtieth (60th) day from the date on which the customer makes its first payment to Us.

Affiliate’s Duties and Responsibilities

Negotiations

As a JAP Affiliate, You are permitted to only refer Jobsoid to prospective Customers and You are not permitted to negotiate any other terms or make commitments on behalf of us. All contracts for Services between Us and Customers will be conducted solely by Us.

Manner of Referrals

You may not issue any press release with respect your participation in JAP or regarding JAP in general. You may not in any manner misrepresent or embellish the relationship between us and you, say you develop our products, say you are part of Jobsoid or express or imply any relationship or affiliation between Us and You or any other person or entity except as expressly permitted by these JAP Terms (including by expressing or implying that we support, sponsor, endorse, or contribute money to any charity or other cause).

In addition to the above, You shall:

  1. not promote our Services on any adult, hate, or other related sites that host content in violation of law;
  2. not have more than one account with JAP;
  3. not send unsolicited communications, junk email, spam or other forms of duplicative or unsolicited messages to prospective customers;
  4. not use banners or links such as newsgroups, chatrooms, ICQ, message boards, banner networks, hit farms, guest books etc;

Violation of the above will lead to automatic termination from the JAP and You will be ineligible to receive any future commissions.

Compliance with Laws

As a JAP Affiliate, You agree to comply with all laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions or other requirements of any governmental authority that has jurisdiction over you, whether those laws, etc. are now in effect or later come into effect during the time you are a JAP Affiliate. Without limiting the foregoing obligation, you agree that as a condition of your participation in the Program you will comply with all applicable laws (federal, state or otherwise) that govern marketing email, including without limitation, GDPR, and other all other anti-spam laws.

Relationship between Jobsoid and Affiliates

You, as an Affiliate in providing referrals under JAP, are acting as an independent contractor. Nothing hereunder shall be construed to constitute the You and Jobsoid as partners, joint ventures, principal and agent, or otherwise as participants in a joint enterprise, and nothing shall be construed or interpreted as making employees or consultants of the Affiliate as employees of Jobsoid nor is the Affiliate an employee of Jobsoid.  Nothing herein shall authorize either party to enter into any contract or other binding obligation on behalf of the other party hereto.

Term and Termination

Jobsoid reserves the right to end JAP at any time and upon such termination, Jobsoid will pay any outstanding earnings accrued unless such earnings have accrued in violation of these Terms.

  1. JAP Term shall begin to be applicable upon our acceptance of Your registration and will end when terminated by either party. Either you or we may terminate these Terms at any time, with or without cause, by giving the other party written notice of termination.
  2. Upon the termination for any reason, You will immediately cease use of, and remove from your site, all links to any of Our Site, and all of our trademarks, trade dress, and logos, and all other materials provided by or on behalf of us to you pursuant hereto or in connection with JAP.
  3. Jobsoid, in its sole discretion, reserves the right to refuse service to anyone for any reason at any time including the right to suspend or terminate Your JAP account and refuse any and all current or future use of the JAP. Any commission/payouts earned by the Affiliate until such termination, unless earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods, shall be paid to such Affiliates subject to these JAP Terms. Such termination will result in the deactivation or deletion of your JAP Account or your access to your JAP Account, and the forfeiture and relinquishment of all potential or to-be-paid commissions in your JAP Account if they were earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods.

Limitations of Liability

We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with these Terms or JAP, even if we have been advised of the possibility of such damages.

Our aggregate liability arising with respect to these Terms and JAP will not exceed the total referral commission paid or payable to You under these JAP Terms.

Disclaimers and Warranties

We make no express or implied warranties or representations with respect to JAP or any products sold through JAP (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of the Site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

Affiliates will be bound by the Terms pertaining to INTELLECTUAL PROPERTY, INDEMNITY, GOVERNING LAWS, ARBITRATION, DISPUTES and other as mentioned in the Terms and Conditions of Jobsoid.

YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO THESE JAP TERMS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN JAP OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN THAT AS SET FORTH IN THESE TERMS.
